Beyond Fractional Ownership: Building a Compliant Digital Marketplace for Commercial Real Estate

Commercial real estate can be difficult to access and slow to transfer. Transactions often involve complex legal documents, limited investor participation and significant administrative work.

Tokenization can represent an investor’s interest in a real estate partnership, fund or ownership entity through a digital token. However, the token represents the investment interest, not the building itself, and it does not replace legal agreements, securities compliance or professional asset management.

This session will explain:

* How the property and ownership structure connect to the digital token
* How partnership units, shares or other investment interests may be tokenized
* Investor qualification, KYC, AML and securities compliance
* Digital ownership records and transfer restrictions
* Smart contracts, distributions and investor reporting
* Wallets, custody and potential secondary-market trading
* The difference between easier transferability and actual liquidity

The session will also explore how tokenization may improve transparency, recordkeeping, administration and investor access.

Attendees will gain a practical understanding of what real estate tokenization can achieve today, the challenges that remain and what is required to build a trusted and compliant digital marketplace.
